These Terms of Service (the “Terms”) govern your access to and use of the Paystack platform, APIs, Model Context Protocol (MCP) packages, developer tooling, operator console, and related services (collectively, the “Service”) provided by Codelucent Technologies, LLC (“Paystack,” “Codelucent,” “we,” “us,” or “our”). By creating an account, deploying an API key, or otherwise accessing the Service, you (“Customer,” “you,” or “your”) agree to be bound by these Terms. If you do not agree, do not use the Service.
You must be at least 18 years old and able to form a binding contract to use the Service. If you use the Service on behalf of a business or other legal entity, you represent that you have authority to bind that entity to these Terms, and “you” refers to that entity.
You agree to provide accurate, current, and complete information during registration and identity verification, and to keep it up to date. Access to money-movement rails is conditioned on completing corporate (KYB) and beneficial-owner (KYC) verification through our banking partner.
Technology provider. Paystack is a software infrastructure and payment orchestration layer. We are not a bank, money transmitter, trust company, or licensed money services business, and we do not take custody of, hold, or control your funds.
Banking partner. All custody, escrow, settlement, and movement of funds is executed by our embedded banking partner, Moov Financial, Inc. (“Moov”), and its sponsor banks, under Moov’s own agreements and the rules of the applicable payment networks (including NACHA and the card networks). Your use of the money-movement features constitutes acceptance of Moov’s applicable terms.
No fiduciary relationship. We act solely as your software provider. We are not your agent, broker, fiduciary, or financial advisor, and nothing in the Service constitutes legal, tax, accounting, or investment advice.
You are responsible for safeguarding your account credentials, API keys, and secrets, and for all activity that occurs under them. Treat API keys as passwords: never embed them in client-side code, public repositories, or logs. Notify us immediately at support@codelucent.com of any suspected compromise. You are responsible for all transactions initiated with your credentials, whether by you, your employees, or your automated agents.
The Service is designed to be operated by autonomous software agents through our API and MCP tools. You remain fully responsible for every instruction your agents issue, including erroneous, duplicated, or unintended payment commands, regardless of any model reasoning failure, hallucination, or misconfiguration on your side.
Our SafetySwitch and verification frameworks (including our “Strategy B” checks) are provided as best-effort risk controls, not guarantees. You are responsible for configuring spending limits, approval thresholds, reversibility windows, and other guardrails appropriate to your use case.
When you initiate a transaction, you authorize Paystack to instruct Moov to move funds on your behalf via the rail you select (standard ACH, same-day ACH, RTP, push-to-card, or card). Custodial escrow balances are held at Moov’s sponsor banks, not by Paystack.
Reversibility windows, holds, and settlement timing are subject to network rules and the sponsor bank’s controls. We do not guarantee that any transfer can be reversed, recalled, or expedited once it has left the applicable buffer window.
You agree to pay the fees set out in the Fee Schedule (Schedule A) below. Fees are assessed against your ledger and billed at the frequency indicated for each item. A monthly platform minimum of $250.00 applies and is assessed at cycle close; qualifying usage fees offset the minimum dollar-for-dollar.
Network-driven fees (ACH returns, chargebacks, notices of change, and similar) are billed automatically when the corresponding network event occurs. Interchange and network pass-through costs are billed at cost plus the stated markup. We may update the Fee Schedule prospectively as described in Section 12.
The following fees apply to the corresponding operational items and rails. This schedule is incorporated into and forms part of these Terms.

You may not use the Service to facilitate any unlawful, fraudulent, or prohibited activity; to move funds you are not authorized to move; to evade sanctions or anti-money-laundering controls; to process transactions for prohibited or high-risk categories restricted by our banking partner or the card networks; or to reverse-engineer, overload, or circumvent the Service’s security or rate limits. We may suspend or terminate access for violations.
You are responsible for the underlying commercial relationship behind each transaction, and for any chargebacks, ACH returns, disputes, insufficient-funds events, or reversals arising from it, together with the associated fees in Schedule A. Paystack is not a party to, and is not liable for, disputes between you and your counterparties. Resolution of disputed payments is between you, your counterparty, and the applicable bank or network.
The Service is provided on an “as is” and “as available” basis. Codelucent Technologies, LLC expressly disclaims all warranties of any kind, whether express or implied, including the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, timely, secure, error-free, or that any transaction will settle, clear, or reverse within any particular time.
To the maximum extent permitted by law, in no event shall Codelucent Technologies, LLC, its affiliates, officers, employees, or agents be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, funds, data, or goodwill, arising out of or in connection with your use of the Service, whether based on warranty, contract, tort, or any other legal theory.
In no event shall our aggregate liability for all claims relating to the Service exceed the total platform fees paid by you to Paystack in the three (3) months immediately preceding the event giving rise to the claim.
You agree to indemnify and hold harmless Codelucent Technologies, LLC and its affiliates from any claims, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising out of your use of the Service, your transactions, your agents’ instructions, your violation of these Terms, or your violation of any law or third-party right.
These Terms remain in effect while you use the Service. We may suspend or terminate your access immediately if you breach these Terms, present risk to us, our banking partner, or the payment networks, or as required by law. You may stop using the Service at any time. Provisions that by their nature should survive termination (including fees owed, disclaimers, limitation of liability, and indemnification) will survive.
We may modify these Terms and the Fee Schedule to reflect changes in law, network rules, or the Service. Material changes are announced through our developer portal, system notifications, or the “Last updated” date on this page. Your continued use of the Service after a change takes effect constitutes acceptance of the revised Terms.
These Terms, and any dispute arising out of or related to them or the Service, are governed by the laws of the State of Missouri, without regard to its conflict-of-law principles. You agree that any legal action or proceeding arising out of these Terms shall be brought exclusively in the state or federal courts located in Missouri, and you consent to their jurisdiction.
